1 - Acceptance of Terms

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("you" or "User") and iTeri Pty Ltd (ABN 57 662 920 238), "iTeri", "we", "us", or "our"), a company incorporated in New South Wales, Australia.

By installing the iTeri Chrome extension, creating an account, or otherwise accessing or using the iTeri service (the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not use the Service.

2 - Description of the Service

iTeri is an agentic AI assistant delivered primarily as a Google Chrome browser extension. The Service enables AI-driven browser automation, task execution, multi-tab coordination, and integrations with third-party platforms (including but not limited to WhatsApp and Slack) on your behalf.

Key characteristics of the Service include:

  • Browser-native execution — iTeri operates within your Chrome browser and acts within your existing authenticated sessions.
  • Human-in-the-loop confirmation — Certain actions require your explicit approval before execution.
  • Credits-based usage model — Access to the Service is metered via a credits system, with payments processed through Stripe.
  • Third-party AI providers — iTeri routes requests to third-party large language model (LLM) providers to deliver its AI capabilities.

iTeri does not guarantee uninterrupted, error-free, or continuously available service. Features may be added, modified, or removed at our discretion.

3 - Eligibility & Accounts

You must be at least 18 years old to use the Service. By creating an account, you represent and warrant that you meet this requirement.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorised use.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe pose a risk to the Service or other users.

4 - Browser Automation & Data Access

Important: - iTeri operates within your browser and interacts with web pages on your behalf. Please read this section carefully.

4.1 How iTeri Accesses Your Browser

The iTeri Chrome extension requires certain browser permissions in order to function, including the ability to read and interact with web page content, manage tabs and windows, and execute scripts within pages you visit. These permissions are necessary for iTeri to perform actions on your behalf.

4.2 Authenticated Sessions

iTeri acts within your existing authenticated browser sessions. This means that when you instruct iTeri to perform an action on a website where you are logged in, iTeri will use your active session — exactly as if you were performing the action manually. iTeri does not store, extract, or transmit your login credentials.

4.3 Page Content & Data Processing

To understand and interact with web pages, iTeri processes page content (including text, form fields, and page structure). This processing includes transmitting compressed representations of page content to third-party AI providers for interpretation and decision-making. We apply significant compression and reduction techniques to minimise the data transmitted, but you should be aware that page content from sites you direct iTeri to interact with may be sent to these providers.

4.3.1 Bring Your Own Key (BYO Key)

iTeri allows you to connect directly to a third-party AI provider using your own API key. When you use this option, compressed page data and your instructions are transmitted directly from the extension to the provider and do not pass through our servers.

In this configuration, your use of the AI provider is governed entirely by your own agreement with that provider. We act solely as the interface facilitating your interaction and accept no liability for data processed, retained, or disclosed by the provider under your API key. You are responsible for ensuring your use of the provider complies with their terms of service.

Your API key is stored locally in your browser's extension storage. We do not store, log, or transmit your API key to our servers at any time.

4.4 Human-in-the-Loop Confirmation

iTeri implements a confirmation gate for certain categories of actions. When enabled, you will be prompted to review and approve actions before they are executed. However:

  • Not all actions may require confirmation — some routine or low-risk actions may be executed automatically based on your configured preferences.
  • You are responsible for reviewing actions presented for confirmation and for the consequences of approving them.
  • You may adjust your confirmation preferences at any time within the iTeri settings.

4.5 Third-Party Websites & Services

iTeri interacts with third-party websites and services at your direction. We are not responsible for the content, policies, or practices of these third-party services. Your use of third-party services via iTeri remains subject to those services' own terms and conditions. You are responsible for ensuring that your use of iTeri to interact with third-party services complies with their terms of service.

4.6 Risks & Limitations

Browser automation inherently involves risk. While we design iTeri to operate reliably, you acknowledge that:

  • Web pages may change without notice, which may cause iTeri to misinterpret content or take unintended actions.
  • AI interpretation of page content is probabilistic and may occasionally be inaccurate.
  • Actions taken by iTeri on your behalf (including form submissions, clicks, and data entry) may be difficult or impossible to reverse.
  • iTeri may not detect or correctly interpret CAPTCHAs, pop-ups, multi-factor authentication prompts, or other interactive elements.
  • In order to formulate proposed actions for your review, iTeri must first observe and analyse page content. This observation and analysis occurs prior to any confirmation prompt and does not constitute execution of an action on your behalf.

You accept full responsibility for any actions taken by iTeri within your browser sessions, including any consequences arising from approved or automatically executed actions.

5 - Credits, Billing & Payments

5.1 Credits System

The Service operates on a credits-based model. Credits are consumed when you use iTeri's features, including AI-powered interactions and task executions. The rate at which credits are consumed depends on the type and complexity of the actions performed.

We reserve the right to adjust credit pricing and consumption rates at any time. Material changes will be communicated to you in advance via email or in-app notification.

5.2 Purchasing Credits

Credits may be purchased through the Service. All payments are processed by Stripe (Stripe, Inc.), a third-party payment processor. By purchasing credits, you agree to Stripe's terms of service. We do not store your payment card details — these are handled entirely by Stripe.

5.3 Pricing & Currency

All prices are displayed in Australian Dollars (AUD) unless otherwise stated and are inclusive of GST where applicable. We reserve the right to change pricing at any time, with notice provided to existing users before changes take effect for their next purchase.

5.4 Refunds

Credits are generally non-refundable once purchased. However, we may offer refunds at our discretion in cases of Service malfunction attributable to us, or as required by Australian Consumer Law. If you believe you are entitled to a refund, please contact us at the address provided in Section 14.

Nothing in this section affects your rights under the Australian Consumer Law (see Section 9.4).

5.5 Free Tier & Promotional Credits

We may from time to time offer free or promotional credits. These credits may expire, may be subject to additional conditions, and may be revoked if we determine they are being abused. Promotional credits have no cash value and cannot be transferred or sold.

6 - User Responsibilities

You agree to use the Service in accordance with all applicable laws and regulations. Without limitation, you must not:

  • Use iTeri to perform actions that violate any applicable law, regulation, or third-party rights.
  • Use iTeri for automated scraping, spamming, phishing, or any form of abuse directed at third-party services.
  • Attempt to circumvent the credit system, exploit bugs, or abuse the Service in any way.
  • Use iTeri to access systems or accounts you are not authorised to access.
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law.
  • Share, resell, or sublicense your iTeri account or credits to third parties.
  • Use iTeri in a manner that could damage, disable, or impair the Service or interfere with other users' use.

7 - Intellectual Property

The Service, including all software, designs, text, graphics, and other content created by iTeri Pty Ltd, is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms.

You retain ownership of all content and data you create, upload, or generate through your use of the Service. By using the Service, you grant us a limited licence to process your content solely as necessary to provide and improve the Service.

8 - Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

Key data-handling principles include:

  • No credential custody — We do not store your website login credentials on our servers.
  • Encrypted communications — Traffic between the extension and our servers is encrypted.
  • Third-party AI processing — Compressed page content may be transmitted to third-party AI providers for processing. We select reputable providers but cannot guarantee their data handling practices. Please review our Privacy Policy for details on which providers we use.
  • Payment data — Payment information is handled exclusively by Stripe and is never stored on our servers.
  • BYO Key — If you connect your own AI provider API key, data is sent directly to that provider under your own agreement. We have no visibility into and accept no responsibility for data processed under your key. See Section 4.3.1 for details.

9 - Disclaimers & Limitation of Liability

9.1 "As Is" Provision

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9.2 No Guarantee of AI Accuracy

iTeri relies on third-party AI models which are inherently probabilistic. We do not warrant that the Service's AI-powered features will be accurate, complete, reliable, or error-free. You should not rely on iTeri for actions where errors could result in significant financial, legal, or personal harm without independent verification.

9.3 Limitation of Liability

To the maximum extent permitted by applicable law (including the Australian Consumer Law), in no event shall iTeri Pty Ltd, its directors, employees, or agents be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages.
  • Any loss of profits, revenue, data, or business opportunities.
  • Any damages arising from actions taken by the Service on your behalf, whether approved by you or executed automatically.
  • Any damages arising from third-party AI provider outages, errors, or data handling.

Our total aggregate liability to you for all claims arising from or related to the Service shall not exceed the amount you have paid to us in the twelve (12) months preceding the claim.

9.4 Australian Consumer Law

Nothing in these Terms is intended to exclude, restrict, or modify any rights you may have under the Competition and Consumer Act 2010 (Cth) or similar state/territory legislation that cannot be excluded, restricted, or modified by agreement. If any guarantee under the Australian Consumer Law applies, our liability is limited (to the extent permitted) to re-supplying the Service or paying the cost of re-supply.

10 - Indemnification

You agree to indemnify, defend, and hold harmless iTeri Pty Ltd and its directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

  • Your use of the Service.
  • Actions performed by iTeri on your behalf.
  • Your violation of these Terms or any applicable law.
  • Your violation of any third-party rights, including the terms of service of third-party websites.

11 - Termination

You may stop using the Service and uninstall the Chrome extension at any time. You may also request deletion of your account by contacting us.

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, abusive behaviour, or non-payment.

Upon termination, your right to use the Service ceases immediately. If you terminate your account or if we terminate for cause (including breach of these Terms), any unused credits are forfeited unless a refund is required by law. If we terminate your account without cause, we will refund any unused purchased credits on a pro-rata basis. Promotional or free credits are not refundable under any circumstances. Sections of these Terms that by their nature should survive termination (including Sections 7, 9, 10, and 13) shall survive.

12 - Changes to These Terms

We reserve the right to update or modify these Terms at any time. When we make material changes, we will notify you by email or through the Service at least 14 days before the changes take effect.

Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree with the revised Terms, you must discontinue your use of the Service.

13 - Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of New South Wales, Australia. You irrevocably submit to the exclusive jurisdiction of the courts of New South Wales and the Federal Court of Australia.

Before initiating any formal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days.

14 - Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of government, pandemic, internet or telecommunications failures, power outages, cyberattacks, and outages or service disruptions affecting third-party providers on which the Service depends (including AI model providers, cloud infrastructure providers, payment processors, and messaging platforms).

Where a force majeure event continues for more than 30 consecutive days, either party may terminate the affected portion of the Service by written notice. In such case, we will refund any unused purchased credits on a pro-rata basis.
